What is a Registered Office?
Do we use Registered Agents in PA?
In Pennsylvania we utilize Registered Offices rather than Registered Agents. The purpose of a Registered Office is to provide a geographic location at which a company can be served with law suit and other legal papers should they be named in legal proceeding.
It is a statutory requirement that a Registered Office be maintained while your company is doing business here. That is why you MUST use a street address and NOT a PO Box when completing your registration forms. We do not strictly use Registered Agents here and no Registered Agent name is required to be put on any form. If you do not have a street address in PA you must utilize the services of a Commercial Registered Office Provider (hereafter referred to as CROP) which is a company like us that provides Registered Office services.
The sections of the General Associations Act of 1988 as amended which deal with Registered Offices and Registered Office Providers are Secitons 1103, 1507, 108, 109.
Failure to maintain a registered office places your company in violation of section 1507 which requires a company to "continuously maintain" a registered office.
